Account Ownership and Activation
The institution registering for Manage Academy services is solely responsible for managing
its account and is bound by these Terms and Conditions for the duration of the agreement. If
you sign up on behalf of your sub-institutions, you will retain ownership of the account and
remain bound by these Terms and Conditions.

The contracting party (the "Account Owner") will be the entity that subscribes to
the service on behalf of the institution. The person signing up must be an
authorized representative of the institution, with the authority to accept these
Terms and Conditions and manage the account.

If you are signing up for the service on behalf of your institution's head, the
institution itself shall be designated as the Account Owner. By completing the
registration process, you confirm that you have the authority to bind your
institution to these Terms and Conditions.

Upon successful registration, Manage Academy will create a Payment Gateway Account,
as applicable, using the email address provided during sign-up.

You acknowledge that the Payment Gateway Account will serve as the default payment
method. As the Account Owner, you are solely responsible for activating and
maintaining this account. If you choose not to use any of the provided payment
accounts, it is your responsibility to deactivate them.
General Terms and Usage Policies
Manage Academy products and services are the exclusive property of Manage Academy. You are
strictly prohibited from using this system for any illegitimate or unauthorized purposes. In
the event of a dispute or policy violation, Manage Academy reserves the right to terminate
your access with or without prior notice.
Before becoming a member of Manage Academy, you must carefully read, understand, and accept
all the provisions outlined in these Terms and Conditions and the Privacy Policy.

Technical Support: Technical support is available to all account holders through
various platforms as specified on our website.

Terms Modifications: You acknowledge and agree that Manage Academy may update or
modify these Terms and Conditions at any time by posting the revised version on
www.manageacademy.in. Such modifications become effective upon posting. Your
continued use of the services after these changes are published constitutes your
acceptance of the updated Terms and Conditions. If you do not agree with any
changes, you must discontinue the use of the services.

Compliance with Laws: You are prohibited from using Manage Academy services for any
illegal or unauthorized purpose. Additionally, you must not violate any applicable
local, national, or international laws, including but not limited to copyright
regulations and data protection laws. Your use of the service must comply with all
relevant legal requirements in your jurisdiction, as well as those of your customers
and the laws of India.

Intellectual Property and Usage Restrictions: You agree not to reproduce, duplicate,
sell, resell, or exploit any part of the service, its usage, or access to it without
explicit written permission from Manage Academy.

Inquiries: Any questions regarding these Terms and Conditions should be directed to
our Support Team.

Privacy Policy Compliance: You acknowledge and accept that your use of Manage
Academy, including any data transmitted to or from the portal, is governed by our
Privacy Policy.

Language Requirement: The parties agree that these Terms and Conditions, along with
all related documents, shall be drafted in English.
Service Rights and Responsibilities
Manage Academy retains full rights to modify, refuse, or cancel services at any time. In the
event of an ownership dispute regarding a Manage Academy account, we reserve the right to
freeze the account or transfer ownership to the rightful party based on our assessment.

Service Modifications & Termination: We reserve the right to modify or terminate any
service for any reason, without prior notice

Right to Refuse Service: We may refuse service to any individual or entity at our
discretion, with or without reason, at any time.

Content Removal: While we are not obligated to monitor content, we may remove any
web content or accounts that, in our sole discretion, are deemed unlawful,
offensive, threatening, defamatory, obscene, or in violation of intellectual
property rights or these Terms and Conditions.

Abuse Policy: Any verbal or written abuse directed at Manage Academy employees,
members, or officers by any client will result in immediate account termination.

Content Moderation: Manage Academy does not pre-screen content but reserves the
right to remove any content deemed inappropriate or non-compliant with our policies.

Competition & Fair Use: We reserve the right to provide services to competitors and
do not guarantee exclusivity within any market segment. You acknowledge that Manage
Academy employees and contractors may also be customers but are prohibited from
using your confidential information.

Account Ownership Disputes: In case of an ownership conflict, Manage Academy
reserves the right to request official documentation—such as a business license or
government-issued photo ID—to verify rightful ownership.

Final Authority on Ownership: We have the sole discretion to determine the rightful
account owner and transfer ownership accordingly. If an ownership dispute cannot be
reasonably resolved, Manage Academy may temporarily deactivate the account until the
issue is settled.
Limitation of Liability
Manage Academy is not responsible for any legal violations, breaches of this agreement, or
infringements on third-party rights committed by users. This includes any legal actions
taken against you.

You expressly acknowledge and agree that Manage Academy shall not be liable for any
direct, indirect, incidental, consequential, or exemplary damages, including but not
limited to loss of profits, goodwill, data, or other intangible losses resulting
from the use or inability to use the Service.

Under no circumstances shall Manage Academy or its service providers be held liable
for lost profits or any special, incidental, or consequential damages arising from
or related to the use of our website, services, or these Terms and Conditions. You
agree to indemnify and hold harmless Manage Academy, its parent companies,
subsidiaries, affiliates, officers, directors, agents, employees, and suppliers from
any claims, demands, or legal fees incurred due to your breach of these Terms and
Conditions, any referenced documents, or violations of applicable laws or
third-party rights.

Your use of the Service is at your own risk. The Service is provided on an "as is"
and "as available" basis, without any warranties, whether express, implied, or
statutory.

Manage Academy does not guarantee that the Service will be uninterrupted, timely,
secure, or error-free.

Manage Academy makes no warranties regarding the accuracy or reliability of results
obtained through the use of the Service.

Manage Academy does not guarantee that any products, services, information, or other
materials purchased or obtained through the Service will meet your expectations, nor
that any errors in the Service will be corrected.
Waiver and Complete Agreement
The failure of Manage Academy to enforce any provision of these Terms and Conditions at any
time does not constitute a waiver of that right in the future. These Terms and Conditions
represent the full and binding agreement between you and Manage Academy, superseding any
prior agreements that may conflict with these terms.
If Manage Academy chooses not to exercise or enforce any right or provision of these Terms
and Conditions, it does not mean that such rights are waived. This agreement governs your
use of the Service, overriding any previous agreements between you and Manage Academy,
including but not limited to prior versions of these Terms and Conditions.
Intellectual property and customer content Anything you upload remains yours and your
responsibility.

Ownership of Content: Manage Academy does not claim any intellectual property rights
over the material you provide through the Service. Any content you upload remains
yours, and you may remove your Manage Academy Portal at any time by deleting your
account.

Compliance Responsibility: You retain full ownership of all content uploaded to your
Manage Academy Portal. You are solely responsible for ensuring compliance with all
applicable laws and regulations regarding your content.

Confidentiality: We will not disclose your confidential information to third parties
except as necessary for service provision or as required by law. Confidential
information includes any materials or data provided by you that are not publicly
known. Confidential information does not include:

Information that was already publicly available at the time we received it.

Information that later becomes publicly available through no fault of Manage
Academy.

Information obtained lawfully from a third party without breaching
confidentiality obligations.

Information required to be disclosed by law.

Use of Trademarks and Branding: Manage Academy reserves the non-exclusive right to
use your portal’s name, trademarks, service marks, and logos for promotional
purposes related to the Service.
Payment of Fees
For live payment gateways, a valid debit or credit card is required. Subscription fees will
be billed on a monthly, quarterly, half-yearly, or yearly basis, depending on your selected
plan. You have seven (7) days to make the payment. Any transaction or additional fees will
be charged to your registered debit or credit card. If you are exempt from taxes, you must
provide a valid exemption certificate before billing to avoid tax charges. No refunds on
taxes will be issued after a transaction has been processed.

Fee Structure: You agree to pay all applicable fees associated with your
subscription to Manage Academy’s Online Services and Payment Services. These
include:

Subscription Fees: Charges for accessing the Online Service.

Transaction Fees: Fees for processing transactions under your account.
-
Additional Fees: Fees for purchasing additional products or services, such
as apps, domain names, or third-party services.
Collectively, these are referred to as "Fees."

Payment Authorization: You must maintain a valid debit or credit card on file for
all incurred and recurring fees. Manage Academy will charge the Authorized Card for
all applicable fees until the services are terminated and all outstanding balances
are paid in full.

Confidentiality: We will not disclose your confidential information to third parties
except as required for service provision or by law. Confidential information
includes any non-public materials or data you provide to us. It does not include:

Information that was publicly available at the time we received it.
-
Information that later becomes public through no fault of ours.
-
Information legally obtained from a third party without violating
confidentiality.

Information we are legally required to disclose.

Billing and Invoices:

Subscription Fees, if paid in advance, will be billed at the same time as
the Subscription Renewal Date (each a "Billing Date").

Transaction Fees and Additional Fees will be charged periodically at Manage
Academy’s discretion.

You will be billed on each Billing Date for any outstanding fees. Invoices
will be sent to the Account Owner via the email address provided.

You can cancel your subscription at any time by contacting us.

Taxes:

All Fees are exclusive of any applicable federal, central, provincial,
state, local, or other governmental sales, goods and services tax (GST),
harmonized tax, or similar charges.

If you are a resident of India, you are responsible for all applicable taxes
arising from your subscription or purchase of Manage Academy’s services.
Taxes will be based on the billing address you provide.

If you are tax-exempt, you must provide an original exemption certificate
that meets legal requirements. Tax exemption will only apply from the date
we receive the certificate and cannot be retroactively applied.
Cancellation and Termination
To cancel your subscription, you must email Manage Academy Support. Our team will provide
you with specific instructions regarding the cancellation process. Once confirmed, portals
purchased through Manage Academy will no longer be automatically renewed. If you cancel in
the middle of a billing cycle, a final invoice will be generated.
Manage Academy reserves the right to modify or terminate your account at any time, with or
without notice. If fraudulent activity is detected, we may suspend or cancel your account
immediately.

Cancellation Process: You may cancel your account at any time by emailing Support
and following the instructions provided in our response.

Effects of Termination: Upon termination of services by either party

Service Access: You will no longer have access to your Manage Academy
account or services.

No Refunds: Unless otherwise stated in the Terms and Conditions, you will
not be entitled to any refunds (full or prorated).

Outstanding Balances: Any unpaid fees for services used up to the
termination date will become immediately due and payable.

Portal Deactivation: Your Portal website will be taken offline.

If there are outstanding fees at the time of termination, you will receive a final
invoice via email. Once the invoice is paid in full, no further charges will be
applied.

Manage Academy's Right to Terminate:

We reserve the right to modify or terminate the Manage Academy service or
your account at any time, for any reason, without notice.

Fraud Policy: If we suspect fraudulent activity (based on legal action,
investigations, or settlement agreements), we may suspend or permanently
terminate your account.
Modification to the Service and Prices
Manage Academy reserves the right to modify, update, or discontinue any aspect of the
service at any time, without liability.

Price Changes: Subscription and service fees are subject to change with 30 days'
notice. Notice may be provided via:

An announcement on the Manage Academy website (www.manageacademy.in)

A notification in the administration menu of your Manage Academy Portal

Service Modifications: Manage Academy may modify or discontinue any part of the
service with or without notice.

By continuing to use Manage Academy’s services after any changes, you agree to be
bound by the updated terms.
Third-Party Services
Manage Academy is not responsible for any third-party services you choose to use. You
acknowledge that your use of third-party services is at your own risk.

Service-Specific Terms: In addition to these Terms and Conditions, you agree to
abide by any additional terms set forth by third-party service providers or Manage
Academy partners.

Third-Party Services & Access: Manage Academy may recommend, provide access to, or
integrate third-party software, applications, products, or services ("Third-Party
Services") via the Manage Academy platform. Your use of these services is solely
between you and the third-party provider.

No Warranties & Disclaimers:

Manage Academy does not control, endorse, or guarantee third-party services.

The availability of third-party services does not imply sponsorship or
affiliation with Manage Academy.

You are responsible for reviewing the terms, conditions, and privacy
policies of third-party services before use.

Data Access & Exchange:

If you install or enable a third-party service, you authorize Manage Academy
to share necessary data with the third-party provider.

Manage Academy is not responsible for any modifications, deletions, or
disclosures of your data made by third-party providers.

Liability Limitation:

Manage Academy is not liable for any direct, indirect, incidental, special,
consequential, punitive, or exemplary damages resulting from third-party
services.

These limitations apply even if Manage Academy has been advised of potential
risks, to
the fullest extent permitted by law.

By using third-party services, you acknowledge that Manage Academy bears no
responsibility for
your interactions with third-party providers and advises you to seek expert guidance
before
reliance.
